1. Your Acceptance.
Welcome to zstreet (hereinafter the “Website” or “zstreet”), which is a unique part of the Zoomtown.com website owned by Cincinnati Bell Telephone Company LLC (hereinafter “CBT”). The use of zstreet is subject to the following zstreet Terms of Use (“Terms of Use”). To the extent these Terms of Use conflict with any other legal notice on the Zoomtown.com website, these Terms of Use will control.
PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING ZSTREET. BY ACCESSING AND/OR USING ZSTREET IN ANY WAY YOU ARE AGREEING TO COMPLY WITH THESE TERMS OF USE, WHICH MAY CHANGE FROM TIME TO TIME. If you do not agree to be bound by these Terms of Use or if you object to any term or condition of the Terms of Use, do not access and use zstreet or register as a Member.

2. Third Party Websites and Content.
The Website may contain links to other websites maintained by third parties. CBT and its affiliates do not operate or control, in any respect, or necessarily endorse the content found on such third-party websites. You assume sole responsibility for your use of third-party links and agree that CBT is not responsible for any content posted on such third-party websites. You should refer to any Terms of Use, Privacy Policies, or other legal notices that may be posted by such third party websites before you use them.
Your interactions with third parties (including organizations and individuals) found on or through zstreet including, without limitation, transactions involving payment and delivery of goods or services and any other terms, conditions, representations or warranties associated with such dealings are solely between you and such third parties. You should investigate as you feel may be necessary or appropriate before proceeding with any transaction (whether online or offline) with any third party.
You agree that CBT shall not be responsible or liable for any loss or damage of any sort incurred as a result of such dealings with any third party website or third party. If there is a dispute between persons accessing this Website or between persons accessing this Website and any third party, you understand and agree that CBT under no obligation to become involved. If there is such a dispute, you hereby release CBT, its affiliates, its officers, directors, employees or agents from claims, demands, and damages (direct, indirect, incidental, punitive, consequential, special and exemplary) of every kind or nature arising out of or in any way related to such dispute and/or the Website.

3. zstreet Access.
You may access and use certain areas of the Website without registering to become a Member. In accessing or using the Website, whether as a member or non-member, you agree to comply with the following:
a. The Website is intended for persons who are either at least eighteen (18) years or older or who possess legal parental or guardian consent and are over the age of thirteen (13) years. YOU HEREBY AFFIRM THAT YOU ARE OVER THE AGE OF THIRTEEN (13) YEARS, AS ZSTREET IS NOT INTENDED FOR CHILDREN UNDER 13. If you are not over the age of thirteen (13), you are not permitted to use this Website.
b. CBT hereby grants you permission to access and use the Website pursuant to these Terms of Use provided that: (i) your use of the Website as permitted is solely for your personal, noncommercial use; (ii) you will not copy or distribute any part of the Website in any medium without CBT’s prior written authorization; (iii) you will not alter or modify any part of the Website other than as may be reasonably necessary to use the Website for its intended purpose; and (iv) you will otherwise comply with the terms and conditions of these Terms of Use.
c. CBT provides the Website and access to content and services available on the same as a service to its users. CBT does not supervise, monitor or control content posted or stored on its servers at the direction of its Members, users, or partners.
d. Content on the Website including, without limitation, User Content (as defined in Section 5.a) and CBT Content (as defined in Section 7) is provided for your information and personal use only, and, except as expressly permitted herein, may not be used, reproduced, distributed, adapted, transmitted, broadcast, displayed, performed, sold, licensed, or otherwise exploited for any other purpose whatsoever without the prior written consent of the respective owners. If you download or print a copy of the content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security related features of zstreet or features that prevent or restrict use or copying of any content or enforce limitations on the use of zstreet or the content therein.
e. You may not harvest any personally identifiable information including, without limitation, account names from the Website. You may not use the communication system provided by the Website for any commercial solicitation purposes. You may not solicit for commercial purposes any users of the Website with respect to their User Content.
f. You may not use the Website in a way or upload, email, post, publish, distribute, transmit, submit, display, perform or other wise make available content that: (i) violates or infringes any copyright, trademark, patent, trade secret right, moral right, right of publicity, privacy right, or any other intellectual property right or proprietary right of any third party; (ii) is unlawful, in violation of or contrary to the laws or regulations in any state or country where your material is created, displayed or accessed; (iii) is in breach of these Terms of Use; (iv) is fraudulent, false, deceptive, misleading, or constitutes a “bait and switch”; (v) is obscene, vulgar, sexual, pornographic, controversial, profane, hateful, tortious, defamatory, slanderous, libelous, threatening, violent, harassing, racially or ethnically offensive or encourages conduct that would be considered a criminal offense, gives rise to civil liability, promotes illegal or harmful activities or substances, violates any law or is otherwise inappropriate; (vi) constitutes unsolicited bulk email, junk mail, “spam” or chain letters; (vii) violates the Fair Housing Act by stating, in a notice or advertisement for sale or rental of any dwelling, a discriminatory preference based upon race, color, national origin, religion, sex, familial status or handicap (or violates any state or local law prohibiting discrimination on the basis of these or other characteristics); (viii) violates federal, state, or local equal employment opportunity laws including, but not limited to, stating in any advertisement for employment a preference or requirement based upon race, color, religion, sex, national origin, age or disability; or (ix) advertises any illegal service or the sale of any items the sale of which is prohibited or restricted by any applicable law.
g. You may not attempt to obtain any information or materials relating to the Website through any means not intentionally made available through the Website, or attempt to gain unauthorized access to CBT’s database, technology, computer systems or networks associated with the Website. You may not attempt to modify, translate, adapt, edit, decompile, disassemble or reverse engineer any technology applications or software programs used by CBT in connection with the Website or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of or impairs the functionality of the Website.
h. You may not use or launch any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc. that accesses the Website in a manner that sends more request messages to the CBT servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser.
i. You are solely responsible for and will exercise caution, discretion, common sense and judgment in using and accessing the Website and all content contained therein. You are solely responsible for any equipment necessary to access and use the Website.
j. You are responsible for complying with all applicable federal, state, and local laws, including, without limitation, the copyright laws. You agree to cooperate fully with CBT to investigate any suspected or actual activity that is in breach of these Terms of Use.

4. Becoming a Member.
In order to access some features of the Website, you will have to become a member on the Website (“Member”). If you become a Member, you will provide true, accurate and complete registration information and shall maintain as current and promptly update relevant personal contact information provided to CBT. During registration, you will create a user name and password (an “Account”), which may permit you access to certain secure areas of the Website not available to non-members. You may never use another’s Account without permission. You agree not to disclose your password to any third party. You are responsible for safeguarding and maintaining the confidentiality of your Account. You agree that you are solely responsible for the activity that occurs under your Account, whether or not you have authorized such activities or action. You agree to notify CBT immediately of any breach of security or unauthorized use of your Account.

5. User Content.
a. User Content. The Website may now or in the future permit you and other users to upload, email, post, publish, distribute, transmit, submit, display, perform, or otherwise make available messages, text, files, images, photos, videos, sounds, classified listings, comments, and/or other materials (“User Content”). Subject to the licenses you have granted herein, you retain all right, title and interest in and to your User Content. CBT shall not acquire any right, title or interest in or to such User Content, except as expressly provided herein. You understand that whether or not such User Content is published, CBT does not guarantee any confidentiality with respect to User Content. Also, you acknowledge that you are aware that CBT has limited practical ability to control or monitor possible infringement of your intellectual property rights by other parties. You are responsible for protecting your intellectual property rights. CBT cannot and does not assume responsibility for controlling, monitoring, or enforcing your intellectual property rights.
b. Your License to CBT. By submitting User Content to zstreet, you hereby grant (or warrant that the owner of such rights has expressly granted) to CBT, its affiliates, representatives and assigns a worldwide, non-exclusive, irrevocable, fully paid-up, royalty-free, perpetual, sublicensable and transferable license to use, reproduce, distribute, adapt, excerpt, publish, transmit, publicly perform, publicly display, prepare derivative works based on, reference, store, host, index, syndicate, broadcast, cache and otherwise exploit, in any form, medium or technology now known or later developed, the User Content, in whole or in part, whether created by or for you. CBT reserves the right to display advertisements in connection with your User Content and to use your User Content for advertising and promotional purposes.
c. CBT’s License to You. If you become a Member, and subject to your compliance with these Terms of Use, you have a limited, non-exclusive, non-transferable, revocable, non-sublicensable right to use, reproduce, display, perform and distribute the User Content as permitted through the functionality of the Website, under these Terms of Use and solely for non-commercial purposes. Upon termination of these Terms of Use or any individual content right granted hereunder, either by CBT or by a user, your rights with regard to the applicable content will terminate and you will promptly stop using, reproducing, displaying, performing and distributing the applicable content.
d. CBT permits you to link for personal non-commercial purposes to User Content and, in certain instances, CBT Content. In addition, CBT provides an “Embeddable Player” feature, in which you can incorporate certain User Content and, in certain instances, CBT Content on your own personal, non-commercial websites, provided that you include a prominent link back to zstreet on the pages containing the Embeddable Player. You understand that the User Content and CBT Content, whether or not linked or embedded into other websites, are provide to you only on an “As Available” basis, and CBT does not guarantee that its availability will be uninterrupted or bug free. CBT reserves the right to discontinue any aspect to zstreet at any time including, without limitation, discontinuing any linked or embedded content either generally or in specific cases.
e. You agree that you are solely responsible for your User Content. You understand that when using the Website you will be exposed to User Content from a variety of sources, and CBT is not responsible for such User Content. CBT has no responsibility to control or monitor any User Content, and, as a result, does not guarantee and is not responsible for the truth, accuracy, completeness, integrity, safety, timeliness, quality, appropriateness, legality or applicability of such any such User Content. You further understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent or objectionable, and you agree to waive and hereby do waive, any legal or equitable rights or remedies you have or may have against CBT with respect thereto.
f. You may not upload, email, post, publish, distribute, transmit, submit, display, perform or otherwise make available through the Website any User Content unless (i.) you are the owner of such material including all intellectual property rights therein (or you have prior written permission from the rightful owner of the material to use the material as you have used it in connection with the Website) and you have authority to grant CBT all of the license rights granted herein; and (ii.) you have obtained all necessary publicity releases, consents and/or permission of each and every identifiable individual person in the material to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the material in the manner contemplated herein.
g. You acknowledge and agree that your User Content may be included on the websites and advertising networks of CBT’s affiliates, distribution partners or third-party service providers (and/or their downstream users), in addition to, or instead of, those websites and advertising networks of CBT, and there is no guarantee that your User Content will be so included.
h. You understand and agree that CBT is not required to edit or review any User Content. However, you agree that all User Content may be subject to CBT’s approval. CBT shall have the right (but not the obligation) to at any time, in its sole discretion, reject, disable access to, move, delete, or remove User Content for violating these Terms of Use or for any other reason and without notice. CBT, its employees, consultants and other agents shall have no liability for taking such actions or decisions.

6. Copyright Policy.
a. CBT may, without prior notice: (i) remove or disable User Content that infringes, or that CBT reasonably believes infringes, a copyright or other intellectual property or proprietary right of a third party; (ii) deny access to the Website to any user or Member who uses, or who CBT reasonably believes uses, the CBT network in violation of copyright law or other intellectual property or proprietary right of a third party; and/or (iii) terminate or suspend a Member’s account who infringes, or who CBT reasonably believes infringes, a copyright or other intellectual property or proprietary right of a third party.
b. In accordance with the Digital Millennium Copyright Act of 1998, Title 17 of the United States Code, Section 512 (“DMCA”), CBT will respond promptly to claims of copyright infringement that are reported to the agent that it has designated to receive notifications of claims infringement. c. If you are a copyright owner or an agent thereof and believe that your work has been copied in a way that constitutes copyright infringement, please report your notice of infringement to CBT by providing our designated agent with the following information in writing:
(i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
(ii) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
(iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
(iv) Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted;
(v) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
(vi) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
CBT will investigate notices of copyright infringement and take appropriate actions under the DMCA. Inquiries that do not follow this procedure may not receive a response.

7. Intellectual Property.
Excluding User Content (as defined in Section 5.a), CBT and its licensors own all right, title and interest, including without limitation all intellectual property rights in and to the Website and the content provided thereon (and any derivative works or enhancements thereof) including, but not limited to, all text, software, scripts, graphics, photos, sounds, music, videos, information, content, materials, products, services, URLs, technology, documentation, interactive features (“CBT Content”) and the trademarks, service marks and logos contained therein (“Marks”). You shall not acquire any right, title or interest therein, except for the limited use rights expressly set forth in these Terms of Use. Any rights not expressly granted herein are expressly reserved.

8. Representations and Warranties.
You represent and warrant that: (a) you are fully competent to enter into these Terms of Use and have full power and authority to do the same; (b) the execution and delivery of these Terms of Use and the performance of your obligations hereunder will not constitute a breach or default or otherwise violate any agreement to which you or any of your affiliates are a party; (c) you have and will maintain throughout your use of or access to the Website all rights, authorizations, consents and licenses that are required with respect to, and in order to submit your User Content to the Website and permit CBT to host such content, perform its services and provide access to and use of the User Content and Website as contemplated hereunder, which rights, authorizations, consents and licenses have been obtained in compliance with all applicable laws, rules and regulations and without violating any rights or interest of any third party; (d) you have full technical and editorial control of your User Content; (e) your User Content does not violate any law or regulation and you will use the Website in compliance with applicable laws and regulations; (f) your User Content does not and will not infringe any copyright, trademark, patent, trade secret right, moral right, right of publicity, privacy right, or any other intellectual property or proprietary right of any third party; (g) you have obtained all necessary publicity releases, consents and/or permission of each and every identifiable individual person in the User Content to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Content in the manner contemplated herein; (h) your User Content will not contain any “back door,” “trap door,” “ time bomb,” “Trojan Horse” or other computer programming routines or viruses that are intended to damage, interfere with or intercept any system data or personal information, permit access to or use of the Website or other software or hardware by unauthorized parties or disable or damage any portion of the Website or content stored therein; and (i) you shall use the Website for the purposes intended, not for commercial advantage.

9. Warranty Disclaimer.
YOU EXPRESSLY AGREE THAT YOUR USE OF OR INTERACTION WITH ZSTREET, INCLUDING ANY PRODUCTS, SERVICES, CONTENT, INFORMATION, OR OTHER MATERIALS AVAILABLE ON OR PROVIDED THROUGH THE WEBSITE, IS ENTIRELY AT YOUR OWN RISK. EXCEPT WHERE EXPRESSLY PROVIDED OTHERWISE, THE WEBSITE AND ALL PRODUCTS, SERVICES, CONTENT, AND OTHER INFORMATION AVAILABLE THROUGH OR PROVIDED ON THE WEBSITE, INCLUDING, WITHOUT LIMITATION, CBT CONTENT AND USER CONTENT, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE FULLEST EXTENT PERMITTED BY LAW, CBT EXPRESSLY DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, INFORMATIONAL CONTENT, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, CBT EXPRESSLY DISCLAIMS ALL WARRANTIES FOR THE TIMELINESS, SECURITY, PERFORMANCE, ACCURACY OR COMPLETENESS OF THE WEBSITE, THE WEBSITE’S CONTENT, AND THE CONTENT OF ANY WEBSITES LINKED TO THIS WEBSITE. TO THE FULLEST EXTENT PERMITTED BY LAW, CBT DISCLAIMS WARRANTIES FOR GOODS OR SERVICES RECEIVED THROUGH OR ADVERTISED ON THE WEBSITE OR ACCESSED THROUGH ANY LINKS ON THE WEBSITE.

10. Limitation of Liability.
IN NO EVENT SHALL CBT, ITS AFFILIATES, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, INCURRED BY YOU OR ANY THIRD PARTY WHETHER BASED ON CONTRACT, WARRANTY, TORT, PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, (i) ARISING OUT OF THESE TERMS OF USE; AND/OR (ii) RELATING TO YOUR ACCESS TO OR USE OF THE WEBSITE INCLUDING, WITHOUT LIMITATION, LIABILITY RESULTING FROM OR RELATED TO (A) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR ANY LOSS OR DAMAGE INCURRED BY REASON OF ANY PRODUCTS, SERVICES, CONTENT, INFORMATION OR OTHER MATERIAL AVAILABLE ON OR PROVIDED THROUGH THE WEBSITE; (B) ANY BUGS, TROJAN HORSES, VIRUSES, OR COMPUTER PROGRAMMING ROUTINES WHICH MAY BE TRANSMITTED TO OR THROUGH THE WEBSITE BY A THIRD PARTY; (C) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY KIND; (D) UNAUTHORIZED ACCESS TO OR USE OF CBT’S SECURE SERVERS AND/OR ANY PERSONAL INFORMATION OR FINANCIAL INFORMATION STORED THEREIN; (E) ANY INTERRUPTION TRANSMISSIONS TO OR FROM THE WEBSITE; AND/OR (F) ANY DISCONTINUANCE OF THE WEBSITE OR ANY PRODUCTS, SERVICES, CONTENT, INFORMATION OR MATERIAL MADE AVAILABLE ON OR THROUGH THE WEBSITE. THIS LIMITATION ON LIABILITY SHALL APPLY REGARDLESS OF WHETHER OR NOT THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT CBT IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU SPECIFICALLY ACKNOWLEDGE THAT CBT SHALL NOT BE LIABLE FOR USER CONTENT OR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTY, AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
YOU AND CBT AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO ZSTREET MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
The Website is controlled and offered by CBT from its facilities in the United States of America. CBT makes no representations that zstreet is appropriate or available for use in other locations. Those who access or use zstreet from other jurisdictions do so at their own volition and are responsible for compliance with local law.

11. Indemnity.
You agree to defend, indemnify and hold harmless CBT, its affiliates, its officers, directors, employees, successors, agents, affiliates, distribution partners from and against any and all claims, liabilities, losses, damages, obligations, costs and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with: (i) your use of and access to the Website; (ii) User Content provided by you or through use of your Account; (iii) any actual or alleged violation or breach by you of these Terms of Use or any CBT policies; (iv) any breach of any representation or warranty you made hereunder; (v) your violation of any intellectual property right including, without limitation, any copyright, trademark, patent, trade secret, moral right, or other proprietary right; (v) an allegation that your User Content was obscene, defamatory, libelous, slanderous, fraudulent or threatening; (vi) your violation of a third party’s right of privacy or publicity; (vii) any claim that your User Content caused damage to a third party.

12. Termination.
a. In its sole discretion, CBT may terminate or suspend your Account and/or block your access to the Website at any time without notice for any reason whatsoever including, without limitation, if you have failed to comply with the letter and spirit of these Terms of Use. You agree that CBT shall not be liable to you or any third party for any termination or suspension of your Account or for blocking your access to the Website.
b. If you become a Member, you may terminate your Account at any time by logging into your Account then editing your profile to delete your Account.
c. Any suspension or termination shall not affect your obligations to CBT under these Terms of Use (including but not limited to ownership, indemnification and limitation of liability). Sections 2, 5.b, 5.e, 5.h and Sections 6 through

14 shall survive termination of the Terms of Use.
13. Privacy Policy.
CBT has established a Privacy Policy to explain how user information is collected and used by CBT. By visiting or using zstreet, you are signifying your acknowledgement and agreement to CBT’s Privacy Policy.

14. Miscellaneous.
a. Governing Law; Jurisdiction. These Terms of Use will be governed by and construed in accordance with the laws of the State of Ohio, without reference to conflict of laws principles. The parties agree to submit to the exclusive jurisdiction over all disputes hereunder and venue in the federal and state courts in the State of Ohio located in Hamilton County.
b. General. These Terms of Use and any other legal notices on Zoomtown.com constitute the complete and exclusive understanding and agreement between the parties regarding its subject matter, and supersede all prior or contemporaneous agreements, proposals, understandings or communications between the parties, oral or written, regarding its subject matter. If any provision of these Terms of Use is held to be invalid or unenforceable, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and CBT’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. The titles and/or headings contained in these Terms of Use are for convenience only and shall have no legal effect. You agree that these Terms of Use, and CBT’s enforcement thereof, are not intended to confer and do not confer any rights or remedies upon any person other than you and CBT.
c. No assignment. You shall not assign these Terms of Use or assign any rights or delegate any obligations hereunder, in whole or in part, without the prior written consent of CBT. Any such purported assignment or delegation by you without the appropriate prior written consent of CBT will be null and void and of no force or effect. CBT may assign these Terms of Use or any rights hereunder without your consent and without notice.
d. Modification. CBT reserves the right in its sole discretion to at any time and for any reason to modify, discontinue or terminate the Website, or to modify these Terms of Use or any related terms and conditions governing your use of the Website at any time without notice. All modified terms and conditions will be effective immediately upon notice, either by posting of the revised Terms of Use on the Website or by notification by email or conventional mail. It is your responsibility to review the Terms of Use from time to time for any changes.
